Welcome to the Web site of Readymix Industries (Israel) Ltd. (hereinafter: “the Company”) at
http://www.readymix.co.il (hereinafter: “The Site”). Access and/or use of the site are subject to the ‘Terms and Conditions of Use of the Site’ specified hereunder (hereinafter: ‘Terms of Use’) which constitute a binding contract (hereinafter: ‘this Agreement’) between Readymix Industries (Israel) Ltd. whose main business address is 155 Bialik Street, Ramat-Gan, and yourself. Please read the ‘Terms of Use’ carefully, since your use of the Site signifies your full and unreserved agreement to the ‘Terms of Use’. The ‘Terms of Use” govern the association between the Company and any visitor and/or viewer and/or user of the Site or the information contained therein (hereinafter: ‘the User’).
Any reference in the “Terms of Use” to the male gender is for convenience purposes only and refers to both the male and the female genders.

Please read the following ‘Terms of Use” carefully before entering or using the Site or any material connected with or contained therein. If you do not agree to these “Terms of Use”, you are not entitled to enter the Site or make any other use of the Site or any part thereof. Your clicking on the button marked “I accept”, your continued use of the Site, and/or your causing the use of this site through electronic or other means indicates your acknowledgement that you have read and accepted these ‘Terms of Use”. The Company reserves the right to update or revise these ‘Terms of Use’ without notice to you; Please check these ‘Terms of Use” periodically to review any changes. Your continued use of the Site following the posting of any changes to these ‘Terms or Use” constitutes your unrestricted and unreserved acceptance of those changes.

As mentioned above, by clicking on the ‘I Accept” button below, and/or by the continued use of the Site by you and/or by causing the use of the Site through electronic or other means, you signify that you accept this Agreement and that you:

* Acknowledge that the Company explicitly disclaims any liability, loss, damage or risk incurred as a direct or indirect consequence of the Site;
* Agree that your use of the Site is governed by the ‘Terms of Use’, as amended from time to time.
** Will only use the information contained in the Site for personal, non-commercial, and informational purposes, and will not modify any material contained in the Site.

1. The Information – General

The Site in its entirety – including all the information contained therein and the software by which is operates – is offered to the public “As Is”. It is the Company’s intention that the information be correct and exact, but it might happen to be incomplete or alternatively, that technical or other errors could occur with regard to the information. The Company clearly states hereby that the information contained in the Site is for general and informative purposes only and does not constitute a recommendation and/or an opinion and/or a proposal to purchase any product or any service, and therefore users of the Site hereby agree that reliance on any statements, opinions, advice or any other information presented in the Site, is at the User’s sole risk and responsibility. Parts of the information may originate from third parties, and the Company is obviously not responsible for any such information and does not warrant the degree of preciseness of the information. Features, specifications, designs or appearance of products described or presented by the Site including any picture or simulation of a product contained in the Site are for illustrative purposes only unless stated otherwise. Should a discrepancy and/or contradiction be discovered between the information contained in the Site and information existing in the Company’s formal records, including information submitted by Company employees, whether in writing or verbally, the information stored in the Company’s offices, in its formal records, or submitted by Company employees, shall be considered the correct one.

2. Proprietary Rights

The Site and the contents therein including site design, graphics, drawings, diagrams, illustrations, photographs, pictures, maps, audio clips, video clips, texts, graphics etc. (hereinafter: “the Information”) are protected by copyrights statutes as specified in the laws of Israel, in international agreements and in copyright laws prevailing in other countries. The Information is the sole property of the Company and/or its parent-company, or of third parties that had permitted the Company to present the Information in the Site subject to copyrights. Users are not allowed to introduce changes, to copy, publish, broadcast, disseminate, transmit, present, carry out, issue a license, create derivative work or sell any part of the information contained in the Site without receiving the Company’s explicit written consent. Users hereby acknowledge their awareness of the existing copyrights relating to the Information and hereby commit to refrain from making any commercial use of the Information or any use relating to the contents of copyright laws and international agreements, or to cause any change in, or distortion of, the Information or any part thereof.

3. Brand names, trademarks

The marks that appear in the Site, including the Company’s Logo and its parent company and other companies in the group, as well as any other registered mark of the Company and its parent company, whether the mark appears next to it or whether it does not, are registered trademarks of the Company and its parent-company and therefore are its property, or are brand names owned by the Company and its parent-company, and may be used by the Company alone, exclusively. Any action which could damage the property rights for the trademarks or brand names is prohibited. Any reference to any names, marks, products or services of third parties does not constitute or imply endorsement, sponsorship or recommendation of the third party or of the products or services.

4. User conduct and obligations

Access to the Site and use of the Site and any activity performed in the Site by a user signify the user’s acceptance of this Agreement and the user’s commitment to the following:

4.1 The user agrees to the entire contents of these “Terms of Use”.

4.2 The user agrees not to upload, download, transmit, broadcast, distribute or publish information or any other material which might restrict or prevent others from using of the Site;

4.3 The user agrees not to upload, download, transmit, broadcast, distribute or publish information or any other material the use of which is prohibited on the grounds of its being threatening, harmful, abusive or defamatory, offensive, racist, pornographic, or otherwise vulgar or objectionable;

4.4 The user agrees not to upload, download, transmit, broadcast, disseminate or publish information or any other material which might encourage, solicit, urge or assist another person to perform an act which is prohibited by law or which might lead to legal liability;

4.5 The user agrees not to upload , download, transmit, broadcast, disseminate or publish information or any other material which might breach the property rights of another person, including intellectual property rights, rights for protection of privacy and/or any other property rights;

4.6 The user agrees not to upload, download, transmit, broadcast, disseminate or publish information or any other material which contains a virus or any other software which might harm or damage computer systems;

4.7 The user agrees not to upload, download, transmit, broadcast, disseminate or publish information or any other material which contains advertisements of any kind without receiving prior and explicit permission from the Company;

4.8 The user agrees not to use the Information for any commercial purposes;

4.9 The user is aware of the shortcomings of the web with regard to the security of the information contained therein, and the user hereby releases the Company from any responsibility in this matter;

4.10 The user agrees not to use the Site in a way which is not consistent with the law and/or which is in dispute and/or which constitutes a falsification, modification, or deletion of information;

4.11 The user agrees to compensate the Company for any damage, direct and/or indirect and/or for any expense which the Company might incur in respect of any claim and/or demand resulting from this Agreement;

4.12 The user agrees not to use the Site for the purpose of such things as chain-letters, junk mail, spam mail, or any duplicated transmissions or transmissions that are sent out in the absence of the receiver’s order or invitation (commercial or otherwise);

4.13 The user agrees not to use the Site for the purposes of searching or collecting or disseminating in any way information about other persons, including their e-mail addresses, without their permission, and/or not to create a false identity or address or false e-mail name, and/or not to try in any other way to mislead other people with regard to the identity of the sender or the source of the transmission.

4.14 The user agrees that, without prejudice to any of the Company’s other rights, in the event that the Company might have any concerns about the compliance of the user’s use of the Site with the terms of this Agreement and/or with the terms of the law, the Company shall be entitled to monitor the user’s use of the Site, to prevent the user’s access to the Site, or to transmit the user’s patterns of use of the Site to third parties which can prove, to the Company’s satisfaction, that they are damaged by the user’s breaches, and the Company shall also be entitled to take any other action it may choose in order to protect its property and/or its rights.

5. Links

The Site may contain links to third party sites which are not operated by the Company. Such links are meant for your convenience only, and the Company has no control over them and bears no responsibility for the contents of those sites. The inclusion in the Site of such links to other sites does not constitute an endorsement of the contents of such sites or any other connection with those sites or their operators. The Company is not responsible for the accuracy or reliability or lack of defects of such links, nor for such links being directed to any site which a user may wish to access. The Company is entitled, at its sole discretion, to remove any links from the Site and/or to add additional links.

6. Exclusion of liability

The use of the Site is at the user’s sole risk. The Company is not responsible or liable for any error, disruption, or omission in the contents of the Site. The Company shall not be responsible or liable for any damage, direct or indirect, consequential or coincidental, resulting from access to the Site, and use of the Site, or from any prevention from access to or use of the Site, whether on the cause of Contractual Law or of the Law of Torts.

The Company shall not be responsible or liable for any damage, including damage as a result of Viruses or any software applications, to the user’s computer hardware or to any other property of the user, which may be caused as a result of surfing, access, or use of the Site, including damage as a result of downloading information from the Site.

The Company does not and cannot review all the material posted to the Site by users.

The statements contained in this Section are additional to those which relate to the Company’s responsibility with respect to the “Terms of Use” and this Section does not purport to replace any additional statements relating to the Company’s responsibility with regard to any specific context such as: Responsibility for links, responsibility for protection of privacy, responsibility for unauthorized activity on the part of users or in any other context, all as specified in the Sections of the “Terms of Use” or as contained in the Site itself.

You hereby acknowledge your commitment to compensate, protect and release the Company and/or anyone acting on its behalf from any direct and/or indirect liability which the Company might have to bear with regard to any claim resulting from any breach on your part of this Agreement and/or of the law and/or of the “Terms of Use” of the Site.

7. Protection of Privacy and Data Bases

The Company’s policy is to respect the privacy of users of the Site, and it may be found in the Site in the “Protection of Privacy” box.

Subject to the terms of Section 4.14 above and to the statements contained in this Section, the Company commits to refrain from submitting users’ personal data to others, with the exclusion of the Company’s suppliers of equipment and/or services for the operation of the Site. Notwithstanding the above, it is hereby made clear that that Company shall cooperate with any authority and shall obey any court order for the disclosure of the identity of a user that had allegedly acted against the law and breached the rights of others. The Company is also entitled to use the information submitted by the user during the user’s visit at the Site, for purposes of analysis and submission of statistical or other information to third parties provided such information is not be personally identifiable.

Users who submit their personal data through the “Contact Us” box in the Site, hereby consent to their inclusion in the information banks managed by the Company in accordance with the Law of Protection of Privacy 1981 (hereinafter – “the Law”). The information banks shall serve the Company and other companies in the Group.

8. Miscellaneous

The Company reserves the right to remove, modify, add or change any part of the information contained in the Site by way of updating the Site from time to time. Users waive any claims against the Company with regard to any changes in the information contained in the Site.

The Company reserves the right to refuse access to the Site or any part thereof to any user at the Company’s sole discretion and without prior notice.

The Company reserves the right to modify, add or change these “Terms of Use” by updating this document, from time to time. Any change in these “Terms of Use” will become effective immediately upon its publication in the Site.

Users hereby agree that transmissions of information to the Site or from the Site do not create any association between users and the Company which is beyond that which is specified in the “Terms of Use”.

Any activity in the Site and any legal cause resulting from use of the Site, including the validity and interpretation of the “Terms of Use”, shall be subject exclusively to Israeli law, and the exclusive legal jurisdiction in any dispute relating to the Site and the use thereof shall be that of the courts of law in Tel-Aviv.

Should it be determined that any part of the “Terms of Use” is invalid and/or unenforceable, then those sections determined invalid or unenforceable shall be considered as having been replaced by valid and enforceable sections, the contents of which are the closest possible to the intention of the original sections, and the remaining sections of the “Terms of Use” shall remain effective.
